1. The agreement

These Terms & Conditions ("Terms") govern every visit to cygox.com (the "Site") and every use of CYGOX AI software, tools, and services (together, the "Services"). By opening the Site or using the Services you accept these Terms in full. If you do not accept them, do not use the Site or Services.

CYGOX AI ("we," "us," "our") is a software-as-a-service business supplying algorithmic trading bots. We are not a brokerage, investment company, asset manager, financial adviser, or bank. We never hold, route, or control client funds; your capital sits in your own brokerage account with a provider you choose.

You must be 18 or older (or the age of majority where you live, if higher) and legally capable of entering contracts. Using the Services is your representation that this is true.

2. Your licence to use the Site

We grant you a limited, revocable, non-exclusive, non-transferable right to access the Site and Services for lawful purposes consistent with these Terms. We may change, pause, or retire any part of the Site or Services at any time without incurring liability to you, though we will aim to give reasonable notice of material changes to paying subscribers.

3. Changes to these Terms

We may amend these Terms at our discretion. The "Last updated" date above always identifies the current version, and significant amendments may additionally be announced by email or on-site notice. Using the Services after an amendment takes effect means you accept it; if you disagree with a change, your remedy is to stop using the Services.

4. Accounts and security

Some features require an account. You agree to register with truthful, current information and to keep it up to date. You are responsible for everything done under your login, so keep your credentials private and tell us at [email protected] immediately if you suspect unauthorised access. We may suspend or close accounts that breach these Terms, show signs of fraud or illegality, or remain dormant for an extended time.

5. No investment advice

Nothing on the Site or inside the Services, including bot outputs, analytics, market data, illustrations, or educational material, is investment, financial, tax, or legal advice, and none of it is tailored to your personal circumstances. CYGOX AI is not a registered investment adviser or broker-dealer, and no fiduciary duty arises from your use of the Services. Speak to a licensed professional before committing money to any strategy. Past performance, whether live or backtested, never guarantees future results.

6. Not a lender, not a money transmitter

CYGOX AI does not lend money, arrange credit, transmit funds, process trading deposits, or operate as a money services business in any form. Any mention of financial products on the Site is descriptive only and is not an offer to lend, borrow, or transact.

7. Sanctions, AML, and your local law

You warrant that your use of the Services is lawful where you live, including under anti-money-laundering, counter-terrorism-financing, and know-your-customer rules. We may ask you to verify your identity and may refuse or withdraw service where we reasonably suspect unlawful activity, sanctions exposure, or reputational risk.

You confirm you are not located in, or a national or resident of, any territory under comprehensive sanctions, and that you appear on no restricted-persons list maintained by the US, UN, EU, UK, or any other applicable authority.

EU / EEA / UK users: CYGOX AI does not provide regulated financial services in these regions and makes no claim that the Services are appropriate or available there. Local financial-services frameworks may bear on your activity; verifying your own compliance is solely your responsibility.

8. Trading risk

Trading FX, equities, and commodities can consume your entire stake, and with leverage, more than it. Automated strategies add technology, connectivity, and execution risks on top of market risk. You alone are responsible for your trading decisions, including those executed by bots you enabled, and CYGOX AI accepts no responsibility for trading losses. 9. Our intellectual property

Everything that makes up the Site and Services, including code, algorithms, designs, text, graphics, logos, data compilations, and their selection and arrangement, belongs to CYGOX AI or its licensors and is protected by copyright, trademark, trade-secret, and related laws worldwide. The CYGOX AI name and logo are our trademarks and may not be used without written permission. Except for the narrow licence in Section 2, no rights are transferred to you, and you may not copy, adapt, distribute, publicly display, decompile, or reverse-engineer any part of our property.

10. Acceptable use

You agree that you will not:

• break any applicable law or regulation, or help anyone else do so;
• impersonate any person or misstate your affiliation;
• disrupt or overload the Site, its servers, or connected networks;
• probe or breach any security measure, or access data or accounts that are not yours;
• scrape, crawl, or bulk-extract Site content without our written consent;
• upload malware or any other harmful code;
• harvest other users' information;
• use the Services for market abuse of any kind, including manipulation, spoofing, layering, wash trading, or similar schemes;
• derive, or attempt to derive, our source code or trading logic;
• resell, sublicense, or commercially exploit the Services without authorisation;
• use the Services to build or support a competing product.

We may investigate suspected violations, remove content, suspend or terminate accounts, and involve law enforcement where warranted.

11. Subscriptions, billing, and cancellation

Paid Services are billed in advance on the cycle you choose, and subscriptions renew automatically unless cancelled before the renewal date. By subscribing you authorise our payment processor to charge your chosen payment method each cycle.

You may cancel any time from your account settings or by emailing [email protected]; cancellation takes effect at the end of the paid period, and you keep access until then. Except where the law says otherwise, fees are non-refundable, including for part-used billing periods. Pricing may change; existing subscribers will be notified before a new price applies to their next renewal.

12. Payments and taxes

We accept major cards and other methods shown at checkout, all handled by third-party payment processors; we never store full card numbers. You confirm you are entitled to use the payment method you provide. Taxes, bank charges, and processor fees connected with your payments are your responsibility, and we may pause paid Services while a payment remains failed or declined.

13. Social media

Content we post on social platforms is promotional and informational only; it is never investment advice. Interactions on our channels are governed both by these Terms and by each platform's own rules, and we are not responsible for what third parties post there.

14. Copyright complaints

If you believe material on the Site infringes your copyright, email [email protected] with: (a) identification of the protected work; (b) the URL of the challenged material; (c) your contact details; (d) a good-faith statement that the use is unauthorised; and (e) a declaration, under penalty of perjury, that your notice is accurate and you are the rights holder or their agent.

15. Warranties disclaimed

THE SITE AND SERVICES ARE SUPPLIED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS, TO THE FULLEST EXTENT THE LAW ALLOWS. We do not promise uninterrupted or error-free operation, nor that outputs of the Services will be accurate or profitable. Whatever you do in reliance on the Site or Services, you do at your own risk.

16. Liability capped

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYGOX AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, TRADING LOSSES, OR LOSS OF GOODWILL, HOWEVER ARISING AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE WERE TOLD SUCH DAMAGES WERE POSSIBLE.

Where liability cannot be excluded, our total combined liability for all claims connected with the Services is limited to the greater of (a) the fees you actually paid us in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars (USD 100).

17. Governing law and arbitration

These Terms are construed under principles of international commercial law, without regard to conflict-of-laws rules. Any dispute arising out of or connected with these Terms or the Services, including their existence, breach, or termination, shall be finally settled by binding arbitration before a single arbitrator under the Rules of Arbitration of the International Chamber of Commerce (ICC), conducted in English. The award is final and enforceable in any competent court.

Class action waiver: disputes must be brought individually; you waive participation in any class, collective, or representative proceeding against CYGOX AI.

Exception: either party may seek injunctive or equitable relief in any competent court to protect intellectual property or confidential information.

18. Indemnity

You will defend, indemnify, and hold harmless CYGOX AI and its officers, directors, employees, agents, licensors, and service providers from claims, damages, losses, and expenses (including reasonable legal fees) arising from: your use of the Services; your breach of these Terms or any law; your infringement of any third party's rights; content you submit; or trading and investment decisions you make using the Services. This obligation survives termination.

19. Third-party links

The Site may link to or integrate third-party websites and services we do not control. Links are provided for convenience, not endorsement, and your dealings with third parties are governed solely by their terms. We accept no liability for third-party content, products, or practices.

20. Feedback and testimonials

Ideas, suggestions, reviews, and testimonials you send us may be used by CYGOX AI without restriction: you grant us a worldwide, perpetual, irrevocable, royalty-free, sublicensable licence to use, reproduce, adapt, publish, and display them in any medium. You confirm your submissions infringe no one's rights. Published testimonials reflect individual experiences, may be trimmed for length without changing their meaning, and do not promise similar results for anyone else.

21. Affiliate disclosure

CYGOX AI may take part in affiliate programmes and earn commissions when users reach third-party products through our links. Such relationships never dictate our content, and affiliate material is identified where the law requires.

22. General provisions

Severability. If any clause is held invalid or unenforceable, it will be enforced to the fullest extent permissible and the rest of these Terms remain in force.

Entire agreement. These Terms, together with the Privacy Policy, Risk Disclaimer, EULA, and other notices we publish, are the whole agreement between us on this subject and replace all earlier understandings.

No waiver. Our not enforcing a provision today does not waive our right to enforce it tomorrow.
