End User License & Services Agreement

1. Definitions

• "Bot Software": any automated trading algorithm, bot, strategy engine, or companion tool that CYGOX AI develops and delivers through the Services.
• "Broker Account": the third-party brokerage account that you own and operate independently, which the Bot Software reaches through the broker's API.
• "Confidential Information": non-public information either party discloses, including source code, algorithmic logic, trade secrets, business processes, customer records, and financial details.
• "Subscription Term": the period of your active paid plan, as chosen at purchase or renewal.
• "User Data": the data, configurations, API keys, and parameters you supply or generate while using the Services.
• "Covered Markets" FX, commodities, and stocks, to the extent included in your plan.

2. Your license

2.1 Grant

While you comply with this Agreement and keep your fees current, CYGOX AI grants you a limited, non-exclusive, non-transferable, revocable license to use the Bot Software and Services for your own trading personal or internal business during the Subscription Term. Nothing more.

2.2 What the Services are

CYGOX AI supplies algo bot software that connects to your Broker Account over a secured API link and executes trades in Covered Markets according to parameters you define. CYGOX AI is a software provider only never a broker, adviser, or asset manager.

2.3 API connection

You authorise the Bot Software to reach your Broker Account through API credentials you supply. Confirming that your broker allows third-party API access, and that your account satisfies the broker's requirements, is your responsibility. CYGOX AI retains only the encrypted API keys the connection needs never your broker login password.

2.4 What you may not do

You may not: (a) resell, rent, sublicense, or redistribute the Software; (b) reverse-engineer, decompile, or otherwise attempt to extract its source code or logic; (c) modify it or build derivative works on it; (d) use it to construct a competing product; (e) bypass its security or licensing controls; or (f) let anyone else use your credentials.

2.5 Your account

Everything done under your login is on you. Guard your credentials, and report suspected unauthorised access to [email protected] immediately. Losses that flow from credentials you failed to protect are not CYGOX AI's responsibility.

2.6 Your trades, your risk

You configure and control every trading parameter risk settings, leverage, position sizes. CYGOX AI does not watch, advise on, or interfere with your positions. Trading in Covered Markets can cost you your entire investment, and you accept that risk in full.

2.7 Updates

CYGOX AI may update or modify the Software at any time for functionality, security, or performance. We will tell active subscribers about changes that alter core behaviour; continued use after an update is acceptance of it.

2.8 Eligibility

You confirm you are at least 18 (or your jurisdiction's age of majority, if higher), have capacity to contract, and that your use of the Services is legal where you live.

3. Service terms

3.1 Fees

The Services require a paid subscription, billed in advance on your chosen cycle. Fees are non-refundable except where the law demands otherwise. Prices can change with at least thirty (30) days' written notice ahead of your next billing cycle.

3.2 Availability

We work to keep the Services running continuously, but we do not warrant uninterrupted access. Maintenance windows, infrastructure work, broker outages, and events beyond our control can interrupt service, and CYGOX AI is not liable for trading losses or missed opportunities during any interruption.

3.3 Third-party dependencies

The Services depend on broker APIs, market data feeds, and infrastructure vendors that CYGOX AI does not control. If your broker changes its API, terms, or systems in ways that disrupt the Software, CYGOX AI bears no liability for the disruption.

4. Data security and privacy

CYGOX AI protects User Data with industry-standard measures, including encryption of API keys in transit and at rest. No electronic system is perfectly secure, and you remain responsible for securing your own devices and connections. Our handling of personal information is governed by the CYGOX AI Privacy Policy, which you accept by using the Services. We do not sell your personal data, and if a breach materially affects your account we will notify you as applicable data protection law requires.

5. Intellectual property and confidentiality

All rights in the Software source code, algorithms, trading logic, interfaces, documentation, branding belong exclusively to CYGOX AI. This Agreement licenses use; it transfers no ownership.

Each party will keep the other's Confidential Information secret and use it only for purposes of this Agreement. In particular, you may not publish or disclose details of the Bot Software's logic, methods, metrics, or internals without CYGOX AI's prior written consent. Confidentiality does not cover information that becomes public without fault, was already lawfully known, is independently developed, or must be disclosed by law or court order.

6. No warranties

THE SERVICES AND SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT EXPRESS, IMPLIED, OR STATUTORY WARRANTIES OF ANY KIND INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY TO THE FULLEST EXTENT THE LAW ALLOWS.

CYGOX AI does not warrant that the Services will meet your expectations, run without error or delay, produce accurate or profitable results, or that defects will be fixed on any timetable. No statement by CYGOX AI or its representatives creates a warranty beyond those written here. Relying on the Services for trading decisions is entirely your risk.

7. Liability limits

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYGOX AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND INCLUDING LOST PROFITS, TRADING LOSSES, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL WHATEVER THE THEORY OF LIABILITY.

Our total aggregate liability for all claims under this Agreement is capped at the fees you actually paid CYGOX AI in the twelve (12) months before the event giving rise to the claim.

Without limiting the above, CYGOX AI bears no liability for: (a) trading losses of any kind, however caused; (b) losses from unauthorised account access; (c) broker API failures, outages, or changes; (d) losses caused by your own configuration of trading parameters; or (e) any act or omission of your broker.

8. Term and termination

This Agreement runs from your first use of the Services through your active Subscription Term, unless ended earlier under this section.

You may cancel any time via your dashboard or [email protected]; cancellation lands at the end of the current billing cycle, with no partial refunds.

We may suspend or terminate immediately and without notice if you breach this Agreement, act fraudulently or illegally, attempt to reverse-engineer or compromise the Software, or fail to pay.

On termination, your license ends at once and API access to your Broker Account is disconnected. Positions opened before termination remain your responsibility. Sections 5, 6, 7, 9, and 11 survive termination.

9. Governing law and disputes

This Agreement is governed by principles of international commercial law, without regard to conflict-of-laws rules. Every dispute arising from or relating to it will be finally resolved by binding arbitration before a single arbitrator under the ICC Rules of Arbitration, in English, at a seat determined by the ICC. The award is final and enforceable in any competent court.

Class action waiver: disputes proceed individually only; you waive any class, collective, or representative action against CYGOX AI. CYGOX AI may nonetheless seek injunctive or equitable relief in court to protect its intellectual property or Confidential Information.

10. Force majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disasters, pandemics, war or terrorism, government action or sanctions, power or telecom failures, cyberattacks, broker or exchange outages, and changes of law. If such an event lasts more than sixty (60) consecutive days, either party may terminate on written notice, keeping only fees already accrued.

11. General

Entire agreement. Together with the Terms & Conditions and Privacy Policy, this Agreement is the complete understanding between us about the Services, replacing all earlier discussions.

Severability. An invalid provision is trimmed to the minimum needed to make it enforceable; everything else stands.

Waiver. Waivers count only in writing, signed by the waiving party; not enforcing a right today does not surrender it.

Assignment. You need our written consent to assign this Agreement; CYGOX AI may assign it freely in a merger, acquisition, or asset sale.

Notices. We notify you at your account email; you notify us at [email protected]. Notices count as received on confirmed delivery.

Amendments. Material changes will be announced by email or in-product at least fifteen (15) days before they take effect; continued use afterwards is acceptance.

Independent parties. This Agreement creates no partnership, joint venture, agency, or employment relationship.
